Terms & Conditions
Welcome to Grixey. These Terms & Conditions explain the rules that apply when you visit our website, contact our team, or engage us for professional digital services. Please read this document before proceeding with a project or using our website.
By accessing this website, you agree to follow the applicable terms below. If you disagree with these terms, please discontinue use of the website.
1. Eligibility and Agreement
You must have the legal capacity to enter into an agreement to purchase or request our services. If you act on behalf of a company or another organization, you confirm that you have permission to represent it.
These terms govern general website use. Individual projects may also be subject to a separate proposal, service agreement, invoice, or other written arrangement. If project-specific terms conflict with these general terms, the agreed written project terms will govern to the extent of the conflict.
2. Our Digital Services
Grixey provides digital solutions that may include website design and development, web applications, software development, user interface design, search engine optimization, website maintenance, and related technical services.
The availability and scope of each service depend on the project requirements and our written agreement with the client. We may decline a request that falls outside our capabilities, availability, or acceptable business practices.
Information published on this website is provided for general informational purposes and does not constitute a binding offer to deliver a particular service.
3. Project Requests and Approvals
Submitting a contact form or discussing a potential project does not automatically establish a contractual relationship with Grixey.
Before work begins, the client and Grixey should establish the relevant project scope, deliverables, estimated timeline, pricing, payment schedule, and any important technical requirements in writing.
The client is responsible for reviewing and approving proposed requirements and deliverables within any agreed review period. Requests that materially change the original scope may require a revised estimate, additional fees, or an adjusted delivery schedule.
4. Client Responsibilities
To help us deliver services effectively, clients agree to:
- Supply accurate project information, requirements, and instructions.
- Provide the content, brand assets, credentials, permissions, and other materials necessary for the agreed work.
- Ensure they have the legal right to use any images, text, software, trademarks, or other materials supplied to Grixey.
- Respond to questions, review requests, and approvals within a reasonable or agreed timeframe.
- Keep account credentials and confidential access details secure.
- Avoid requesting work that violates applicable laws or infringes another party's rights.
Delays caused by missing information, late approvals, unavailable third-party services, or other circumstances outside our reasonable control may affect delivery schedules.
5. Fees and Payment Arrangements
Service fees, deposits, milestones, and payment deadlines will be communicated in the relevant proposal, invoice, or written agreement.
- Clients must pay the agreed amounts according to the specified payment schedule.
- Work may be paused if a payment becomes overdue, subject to the applicable agreement and law.
- Additional features, revisions beyond the agreed scope, or new requirements may incur extra charges.
- Any applicable taxes, third-party subscriptions, hosting charges, domain fees, or licensing costs will be handled as stated in the project agreement.
Deposits, cancellations, refunds, and outstanding balances will be handled according to the agreed payment terms and applicable law. No refund or additional charge is implied by this section unless provided for in the relevant agreement.
6. Revisions, Delivery, and Project Changes
Revision allowances and delivery milestones, where applicable, will be defined in the project proposal or agreement.
Revisions are intended to refine the agreed deliverables. A substantially different design, new functionality, additional pages, or a change in the original project direction may be treated as additional work.
Estimated delivery dates are based on the information and cooperation available at the time. We will make reasonable efforts to meet agreed timelines but cannot guarantee a specific date where dependencies or circumstances outside our reasonable control affect progress.
7. Ownership and Intellectual Property
Grixey retains ownership of its pre-existing materials, website content, brand identity, reusable components, internal tools, methods, and other intellectual property unless otherwise agreed in writing.
Clients retain ownership of materials they provide, subject to the rights of any third-party owners. By supplying these materials, clients authorize Grixey to use them as reasonably necessary to complete the requested work.
Ownership or licensing of project-specific deliverables will be governed by the relevant written agreement. Where applicable, any transfer of rights may be conditional on full payment.
Open-source packages, third-party software, fonts, stock assets, and other licensed components remain subject to their respective license terms.
8. Confidential Information
During a project, either party may receive non-public information belonging to the other. Both parties should take reasonable steps to protect confidential information and use it only for legitimate purposes connected with the business relationship.
Confidentiality obligations do not generally apply to information that is publicly available without a breach, was lawfully known beforehand, was independently developed, or must be disclosed under a legal requirement.
9. Portfolio and Publicity
Grixey may request permission to display completed work in its portfolio, case studies, or promotional materials. We will respect applicable confidentiality obligations and any written restrictions agreed with the client.
Clients who do not want their project displayed publicly should communicate that restriction in writing before publication.
10. Third-Party Platforms and Dependencies
Projects may depend on external providers such as hosting companies, domain registrars, payment processors, APIs, analytics platforms, plugins, or software vendors.
These providers operate independently and may change their pricing, functionality, policies, or availability. Unless specifically agreed otherwise, Grixey does not control these external services and cannot guarantee their uninterrupted operation.
Clients are responsible for third-party accounts and recurring fees assigned to them under the project agreement.
11. Warranties and Service Results
We aim to provide professional work consistent with the agreed project scope. However, we do not guarantee particular business outcomes, sales figures, website traffic, search rankings, advertising performance, or conversion rates.
Results may depend on market conditions, competition, client decisions, search engine changes, third-party platforms, and factors outside our control.
Any express warranties, maintenance commitments, support periods, or service-level guarantees must be set out in the applicable written agreement.
12. Limitation of Liability
To the extent permitted by applicable law, Grixey will not be responsible for indirect, incidental, special, or consequential losses arising from website use or a service engagement.
This may include loss of profits, business opportunities, anticipated savings, or data, where such exclusions are legally permitted. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
Any applicable financial limitation of liability will be determined by the relevant written agreement and applicable law.
13. Suspension and Ending a Project
Either party may end a project according to the cancellation provisions in the relevant written agreement.
Grixey may suspend access to its website or pause affected services where reasonably necessary to address a serious breach of these terms, unlawful activity, a security risk, or overdue payment, subject to applicable law and contractual obligations.
When a project ends, the parties remain responsible for payment obligations, confidentiality duties, and other provisions that are intended to continue after termination.
14. Acceptable Website Use
You must not misuse this website or attempt to interfere with its operation. Prohibited activities include:
- Attempting unauthorized access to systems, accounts, or restricted information.
- Introducing malicious code or disrupting website functionality.
- Using the website for fraudulent, unlawful, or misleading purposes.
- Copying or exploiting protected website materials without appropriate permission.
15. Indemnification
To the extent permitted by law, you are responsible for claims and losses arising from materials you provide without the necessary rights, your unlawful use of our services, or your material breach of these terms.
This provision applies only to the extent that responsibility can lawfully be assigned to you under the circumstances.
16. Governing Law and Disputes
These terms are subject to the laws that apply to the relevant relationship and jurisdiction. The parties should first attempt to resolve disputes through good-faith communication. If a dispute cannot be resolved informally, available legal remedies will be determined under applicable law.
17. Changes to These Terms
We may revise these Terms & Conditions as our website, services, or business practices evolve. The latest version will be published on this page with its updated revision date.
Changes apply as permitted by law. Where required, we will obtain any necessary agreement or provide appropriate notice before applying revised terms to an existing project.
